Terms and Conditions

1. ACCEPTANCE OF TERMS

By accessing this website or engaging Logikdesk Solutions ('Company') for any services, including but not limited to 'Launchpad' (Development), 'Amplifier' (Marketing), or 'Autopilot' (Automation), You ('Client') agree to be bound by these Terms and Conditions ('Terms'). If You do not agree, You must immediately discontinue use of our Services.

2. INTELLECTUAL PROPERTY RIGHTS

Notwithstanding anything to the contrary, Logikdesk Solutions retains all right, title, and interest in and to all 'Background IP', including but not limited to pre-existing code, reusable n8n workflows, automation logic, and proprietary frameworks used to deliver the Services.

Upon full and final payment of all fees, Company grants Client a non-exclusive, non-transferable license to use the Deliverables. Transfer of ownership for custom code shall only occur upon clear funds receipt of 100% of the invoiced amount. Until such time, Company reserves the right to disable, revoke, or delete any digital assets provided.

3. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL LOGIKDESK SOLUTIONS BE LIABLE FOR ANY INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, INCLUDING WITHOUT LIMITATION DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO THE USE OF, OR INABILITY TO USE, THE SERVICE.

UNDER NO CIRCUMSTANCES WILL LOGIKDESK SOLUTIONS BE RESPONSIBLE FOR ANY DAMAGE, LOSS, OR INJURY RESULTING FROM HACKING, TAMPERING, OR OTHER UNAUTHORIZED ACCESS OR USE OF THE SERVICE.

THE COMPANY'S TOTAL CUMULATIVE LIABILITY SHALL IN NO EVENT EXCEED THE AMOUNT ACTUALLY PAID BY CLIENT TO COMPANY IN THE THREE (3) MONTHS PRECEDING THE CLAIM.

4. NO WARRANTIES ("AS IS")

The Services are provided on an 'AS IS' and 'AS AVAILABLE' basis. Logikdesk Solutions expressly disclaims all warranties of any kind, whether express or implied, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that automation workflows (n8n/Zapier) will be uninterrupted, timely, secure, or error-free, particularly considering reliance on third-party API stability.

5. PAYMENT & REFUND POLICY

All fees are non-refundable. Time is of the essence regarding payments. Invoices not paid within the stipulated due date shall accrue interest at a rate of 18% per annum. Logikdesk Solutions reserves the right to suspend services immediately for any outstanding invoices without liability for any resulting loss of business to the Client.

6. INDEMNIFICATION

You agree to defend, indemnify and hold harmless Logikdesk Solutions and its licensee and licensors, and their employees, contractors, agents, officers and directors, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees) arising from Your use of and access to the Service, or Your violation of any term of these Terms.

7. GOVERNING LAW & ARBITRATION

These Terms shall be governed and construed in accordance with the laws of India, without regard to its conflict of law provisions. Any dispute arising out of or related to these Terms shall be subject to the exclusive jurisdiction of the courts located in Gurugram, Haryana. The Company reserves the right to initiate arbitration proceedings at its sole discretion.
